1. About OpenKiti
These Terms of Service ("Terms") govern your access to and use of OpenKiti, an autonomous AI agent platform that connects to API specifications, knowledge bases, and software integrations. OpenKiti is a product of Astomverse Innovations Private Limited. References to "Company," "we," "us," or "our" refer to Astomverse Innovations Private Limited, while "OpenKiti" refers to the platform and services.
2. Acceptance of Terms
By registering an account, issuing platform API keys, embedding our copilot widget, or using OpenKiti, you agree to be bound by these Terms and our Privacy Policy. If you access or use OpenKiti on behalf of a company or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms.
3. Eligibility
OpenKiti is intended solely for commercial business, enterprise, and developer use. You must be at least 18 years of age and legally competent to enter into binding agreements to use OpenKiti.
4. Accounts and Security
You are responsible for maintaining the confidentiality of your account login credentials, workspace API keys, and OAuth connection tokens. Workspace administrators are responsible for managing member invitations, defining access roles, and monitoring agent configurations within their organization. You must notify us immediately of any unauthorized access to or compromise of your account credentials.
5. Use of OpenKiti
Subject to these Terms and your subscription plan, Astomverse Innovations Private Limited grants you a non-exclusive, non-transferable, revocable right to access and use OpenKiti to parse API specifications, configure AI agent workflows, connect authorized productivity services and communication channels (including Google Workspace integrations and Instagram Professional accounts across Business and Creator accounts), automate customer support messaging, execute backend integrations, and embed copilot widgets in your applications.
6. Third-Party Integrations
OpenKiti allows workspaces to connect external software platforms and APIs. When you connect a third-party service, you grant OpenKiti authorization to access, read, write, and process data from that service in accordance with your configured agent workflows and permissions. You are responsible for ensuring compliance with third-party developer policies.
7. Google and Instagram/Meta Integrations
Google Workspace Integrations
When connecting Google services, OpenKiti requests only OAuth scopes necessary to fulfill user-initiated agent tasks. OAuth tokens are encrypted at rest using industry-standard AES-256-GCM key-managed encryption. Users may disconnect Google integrations at any time to revoke OAuth tokens via Google's authorization servers. OpenKiti's handling of Google API data strictly adheres to the Google API Services User Data Policy, including Limited Use requirements.
Instagram & Meta Integrations
When connecting an Instagram Professional Account through Meta authentication, OpenKiti enables businesses to connect their Instagram account, synchronize published posts and media metadata, receive customer comments with AI-powered replies, receive and respond to Instagram Direct Messages, and configure autonomous AI agents for customer interactions. Access tokens are stored in encrypted format and can be revoked by disconnecting the integration in OpenKiti or through Meta account security settings.
All use of Meta and Instagram APIs strictly complies with the Meta Platform Terms and Meta Developer Policies. OpenKiti will not sell, rent, lease, license, or transfer Meta Platform Data to any third party. Furthermore, OpenKiti will never use Meta Platform Data (including customer Direct Messages, comments, media captions, or profile details) to build, train, retrain, or improve machine learning or artificial intelligence models, nor process Platform Data for unauthorized surveillance, discriminatory practices, or unauthorized user profiling.
Technical Service Provider Role & Client Obligations (Meta Section 5 Compliance)
OpenKiti operates strictly as a Technical Service Provider (Data Processor) under Section 5 of the Meta Platform Terms, processing Meta Platform Data solely on behalf of and at the direction of our business Clients ("Client's Purpose"):
- Multi-Tenant Isolation: Each Client workspace is maintained in a strictly segregated, logically isolated environment to ensure Platform Data from one Client is never commingled or accessible to another Client.
- Contractual Prohibition on Prohibited Processing: In accordance with Meta Platform Terms Section 5.b.ii.4.a, Clients are expressly and contractually prohibited from Processing Meta Platform Data in any manner that would violate the Meta Platform Terms, Developer Policies, or applicable law, including unauthorized data reselling, surveillance, cross-service tracking, or discriminatory profiling.
- Customer Consents & Lawful Use: Clients represent and warrant that they have obtained all legally required consents from end customers to receive and process Direct Messages and comments, and will not use OpenKiti to transmit unsolicited bulk marketing (spam) or violate Instagram Community Guidelines.
- Cooperation on Data Subject Requests: Clients agree to promptly cooperate with OpenKiti and Meta regarding any end user requests to exercise their data protection, modification, and deletion rights under applicable law and Meta policies.
- Immediate Token Revocation: Upon workspace cancellation, suspension, or integration disconnection via channel settings, all stored Meta OAuth access tokens are immediately revoked and scheduled for complete purging.
8. Acceptable Use
You agree not to use OpenKiti to violate laws, attempt unauthorized access, transmit malware, interfere with platform performance, circumvent API rate limits or credit controls, infringe intellectual property rights, scrape or reverse engineer source code, or generate fraudulent or abusive content.
9. User Content
You retain all ownership rights to the API specifications, knowledge files, prompts, instructions, workflow rules, and data you submit to OpenKiti ("User Content"). You grant Astomverse Innovations Private Limited a worldwide, non-exclusive, royalty-free license to host, store, execute, and process User Content solely to deliver OpenKiti services to you.
10. AI-Generated Output
OpenKiti provides the hosted software platform and utilizes probabilistic artificial intelligence models to generate automated responses, synthesize customer inquiries, and execute workflow actions.
- AI-generated outputs may occasionally contain inaccuracies or incomplete context based on probabilistic language model variations.
- Client Agent Configuration & Prompt Instructions: When creating and activating AI agents on OpenKiti (including automated Instagram Direct Message or comment replies), you are responsible for defining the prompt instructions, system guidelines, and business knowledge base documents that guide the agent's automated responses.
- Astomverse Innovations Private Limited provides the software platform and is not liable for automated interactions or outputs resulting from client-configured prompts, incorrect knowledge base uploads, or underlying third-party AI model behaviors.
11. Third-Party Services
OpenKiti integrates with third-party model providers (Google Gemini, DeepSeek) and cloud hosts. We do not guarantee uninterrupted uptime for third-party services.
12. Usage Limits
OpenKiti subscriptions include specified monthly AI credit allowances. If a workspace exhausts its credit balance, automated execution will pause until credits refresh or additional credits are purchased.
13. Plans, Billing and Payments
Subscriptions are billed in advance on a recurring monthly or annual basis. You may upgrade, downgrade, or cancel at any time. Cancellations take effect at the end of the paid billing period. Fees are non-refundable except where required by law.
14. Intellectual Property & Third-Party Trademarks
The OpenKiti platform, software code, copilot widget architecture, documentation, designs, trademarks, and logos are the exclusive property of Astomverse Innovations Private Limited. All rights not expressly granted under these Terms are reserved.
Platform Non-Affiliation & Trademark Notice:
OpenKiti is an independent software platform developed and operated by Astomverse Innovations Private Limited. OpenKiti is not affiliated with, sponsored by, or endorsed by Meta Platforms, Inc., Instagram, Facebook, WhatsApp, Google LLC, or Google Workspace. Instagram, Facebook, and WhatsApp are trademarks of Meta Platforms, Inc. Google and Google Workspace are trademarks of Google LLC. OpenKiti integrates with these platforms through their official, publicly documented APIs and developer interfaces, in accordance with their applicable platform terms, policies, and requirements.
15. Confidentiality
Both parties agree to hold non-public technical, product, security, and business information in confidence.
16. Service Availability
While we aim for high platform stability, OpenKiti may occasionally experience temporary downtime due to maintenance or cloud infrastructure outages.
17. Suspension and Termination
We reserve the right to suspend or terminate access to OpenKiti for material violations of these Terms, non-payment, security risks, or suspected fraud.
18. Disclaimers
OPENKITI IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. ASTOMVERSE INNOVATIONS PRIVATE LIMITED DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED.
19. Limitation of Liability
Astomverse Innovations Private Limited shall not be liable for indirect, incidental, special, consequential, or punitive damages resulting from your use of OpenKiti.
20. Indemnification
You agree to defend, indemnify, and hold harmless Astomverse Innovations Private Limited against claims, liabilities, damages, or costs arising from your User Content or violation of these Terms.
21. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of India. Any legal suit, claim, action, or proceeding arising out of or related to these Terms or OpenKiti services shall be instituted exclusively in the competent courts located in Patna, Bihar, India, and each party irrevocably submits to the exclusive personal jurisdiction of such courts.
22. Changes to Terms
We reserve the right to modify these Terms at any time. Revised Terms will be published on this page with an updated date.
